Olivier BOES

Olivier Boes studied Law in Namur and Leuven prior to joining the Bar of Antwerp in 1998. During the first years of his career he focused on insurance, traffic and physical injury matters, but gradually his interest in Immovable Property Law gained the upper hand. He successfully completed the postgraduates Company and Property Law cum laude. Olivier Boes is currently mainly active in commercial and civil law, with a special preference for commercial disputes. Debt collection also accounts for a large part of his time allocation. Olivier Boes is co-founder and partner of STUDIO | LEGALE. He fluently speaks and writes Dutch, French and English.

Christian CLEMENT

Christian Clement completed his Law studies cum laude at the Universities of Antwerp (UFSIA and UIA). He studied for six months at the German Universität Trier in the context of an Erasmus project. He acquired his love for the oral plea in general and in criminal cases in particular during his internship. He also completed a Company Law post-graduate programme. In 2003 Christian CLEMENT continued his practice independently, which consisted for the most part of criminal proceedings. He already defended numerous cases for the Court of “Assisen” for offenders as well as for victims and their families. He is co-founder and associate of STUDIO | LEGALE. He is a member of the Criminal Law Committee as well as the Legal Aid Mixed Commission of the Flemish Bar Council. He is also a member of the Criminal Law Committee of the Council of Bars and Law Societies of Europe (CCBE). Christian CLEMENT is holder of the Special Training Certificate for Belgian Criminal Cassation Proceedings. He is a Supralat-tutor for providing assistance during police custody and police interrogations.

Joost PEETERS

Joost Peeters, co-founder and partner of STUDIO | LEGALE started his Law Studies at the University of Antwerp (UA) and graduated via the Catholic University of Leuven (KU Leuven) at the University of Rome (ROMA LUISS) prior to joining the Bar of Antwerp in 2001. He is specialised in Insurance Law, Company Law (legal assistance in various takeovers and share transfers), Business Law, (Commercial) Tenancy Law, Contract Law, and Traffic Law. He is liquidator/curator in bankruptcy proceedings and he assist companies that are in difficulties (mainly in cases governed by the Belgian Continuity of Enterprises Act). He was sworn in as Deputy Justice of the Peace in Antwerp and is also a Legal Assessor for the Belgian Architects’ Association and Administrator. Joost PEETERS is holder of the Special Training Certificate for Belgian Criminal Cassation Proceedings. He recently obtained the DPO (Data Protection Officer) Degree concerning the new GDPR at the esteemed DPI (Data Protection Institute). He is a certified collaborative negotiator and certified mediator in civil and commercial matters. He also followed a course in mediation in social affairs in 2020. He speaks and writes Dutch, French and English fluently and can get by in Italian and German.

Carlo VAN ACKER
Carlo Van Acker obtained his Master of Laws at the University of Antwerp ( UA) in 1990. During his master studies, his choice of studies was determined mainly by civil law and criminal law. (in-depth studies) After a 20-year career at the Antwerp Bar, he spent the last 11 years specialising in the judicial protection of natural minors and adults. As a professional administrator, he holds many mandates within the Justice of the Peace courts in the judicial district of Antwerp. He also advises and defends the interests of private individuals in questions and disputes concerning family law, rent, insurance and collective debt procedure.

Ina POTTILLIUS
Ina Pottillius studied law at Vrije Universiteit Brussel (VUB) and was a lawyer at the Brussels Bar from 2002 to 2021, where she initially handled mainly cases involving liability law, contract law, insurance law and administrative law. From 2011, Ms Pottillius worked in cassation cases for the late Michel Mahieu, lawyer at the Court of Cassation, former President of the Cassation Bar, and from 2013 to 2021 for Huguette Geinger (Bützler & Geinger), lawyer at the Court of Cassation, former President of the Cassation Bar. In 2015, Ms Pottillius obtained the certificate of professional training 2011-2015 of the Bar at the Court of Cassation and passed the examination referred to in Article 478(2) of the Judicial Code. In September 2023, Ms Pottillius joined STUDIO | PENALE Criminal Lawyers, headed by Mr Christian Clement. She is a member of the Dutch Bar Association at the Brussels Bar. Ms Pottillius mainly handles Dutch-language cases, but has a good command of French and English.

Gert VANOPSTAL
Gert Vanopstal obtained his Master’s degree in Law at the University of Brussel VUB (cum laude) in 2010, where he chose a major in Economic Law. He also holds a Master’s degree in Intellectual Property Rights (2011 - University of Brussels HUB - cum laude) and a Master’s degree in Business Law (2015 - University of Antwerp - cum laude). He was admitted to the Antwerp Bar in 2011 and became a member of the STUDIO | LEGALE Team, where he primarily focused on commercial and corporate law. In recent years, he has assisted various companies in the acquisition of shares, transfer of business (assets), drawing up general terms and conditions and negotiating various contracts (e.g. shareholders’, distribution, franchise and loan agreements), etc. He also advises and defends the interests of both individuals and companies with questions and disputes relating to contracting and private construction, rent, insurance and traffic law. Laurie PEER
Laurie Peer was awarded a Master of Laws degree by the University of Antwerp (UA) in June 2014. During her studies, she developed an interest in Civil Law and Liability Law. In September 2014, Laurie Peer joined the Bar of Antwerp and joined the STUDIO | LEGALE team, where she further specialized in Liability, Insurance and Insolvency Law. She was awarded the certificate for the course of liquidator in bankruptcy proceedings in 2017 and she got a post-graduate in liability law and insurance law. She is a certified mediator in civil and commercial matters and followed a course in social affairs at the renowned bMediation (BBLC vzx and BCI) in 2020, which she successfully completed. Koen DE BACKER

Koen De Backer was awarded a Masters of Law degree cum laude in 2017 at the University of Antwerp (UA). He combined this study with his job as secretary at the public prosecutor’s office of the Antwerp Court of Appeal, where he worked as head of the administrative support unit of Attorney-General of Antwerp. His 11 years of experience at the Public Prosecutor’s Office, where he closely followed developments in criminal procedural law and criminal law on a daily basis, enabled him to develop special expertise in this area. On 1 September 2017, he switched from the public prosecutor’s office to the legal profession as a lawyer, where he mainly handles cases in criminal and procedural law. He obtained the certificate for Criminal Cassation proceedings and he completed the Supralat training on providing assistance during police detention and in police interrogations. Furthermore, he is the author of various academic publications.

Pauline VANHORENBEKE
Pauline Vanhorenbeke was awarded a Masters of Law degree in 2017 cum laude with the finalities of civil and criminal law at the Université Catholique de Louvain (UCL). Arnaud LOUWETTE
Arnaud Louwette obtained his Master of Laws degree with distinction from KU Leuven in 2023. During his studies, he developed a particular interest in criminal and criminal procedure law. As the culmination of his law studies, he wrote a particularly tasteful thesis on nullities in criminal procedure. Arnaud is very driven and fully committed to every case. This passion already manifested itself in his student days during which he did several internships with the investigating judge and the public prosecutor's office in Brussels. After completing his studies, Arnaud joined the Antwerp Bar, where he started his traineeship under the patronage of Mr Christian Clement. He is therefore mainly active in criminal law, criminal procedure and traffic law. He assists suspects, defendants, convicts and victims in both French and Dutch.

Fien-Charlotte JANS

Fien-Charlotte Jans received her Master of Law degree from the Catholic University of Leuven (KUL) in June 2024. During her master's programme, she pursued her major in economic law and her minor in criminal law. She wrote her master's thesis on the efficiency and effectiveness of collective insolvency proceedings in achieving their goal. She also obtained the postgraduate degree in Tax Law and Tax Practice from the Fiscal College of Brussels in June 2024. MEDIATION
Mediation is on the rise. Since the Act of 18 June 2018, the judge can order mediation at any stage of the proceedings on his own initiative or at the request of one of the parties. Courts are increasingly making use of this. The benefit of mediation is the confidential nature of the procedure, which benefits the reconciliation of the parties. The parties themselves work towards an acceptable solution for both parties. This significantly increases the prospect of future compliance with the agreement. We are pleased to assist you in the framework of a mediation proceeding. Studio Legale will assist you as lawyer of one of the parties in the context of a mediation. Currently three lawyers of our office are taking on a course to become a certified mediator.

ADMINISTRATION
It can be advisable to appoint an administrator when someone loses control over his/her actions. It is of course of the utmost importance that this administrator executes his/ her duties with the necessary seriousness, reliability, humanity and independence. It is often advisable to appoint an independent administrator. Joost Peeters is an administrator and would be happy to handle this.

Are you already GDPR compliant?

Since 25 May 2018, the General Data Protection Regulation, better known as the “GDPR”, is in force. The GDPR imposes extensive transparency and security obligations. The current management and security of the processed personal data in your organisation must be mapped. Perhaps you will be surprised by the amount of data you have acquired over the years, such as personnel, payroll administration, customers, suppliers, camera surveillance, GPS tracking, use of badges and so on.

Joost PEETERS (lawyer and partner at STUDIO | LEGALE) and Simon GEENS (lawyer at STUDIO | LEGALE), followed an intensive GDPR course and are now, after passing the exam, as from 30 April 2018 and 23 September 2019 respectively holder of the certificate of “Data Protection Officer” (“DPO”), issued by the Data Protection Institute. They guide entrepreneurs to implement the GDPR as efficiently as possible in the company structure.

In order to meet the transparency obligations, records of processing activities, processing agreements, policies and confidentiality agreements have to be drawn up, among other things. You can always count on us for this.

The data must also be protected in practice. In order to optimally integrate the legislation in the company, STUDIO | LEGALE works together with STUDIO | SECURO who will screen the security of the company and display the risks of data leaks in a clear report.

Does your company framework change?

By law of March 23th 2019 consindering the implemention of the new Code of Companies and associations (“WVV”) the “Besloten Vennootschap”, i.e. the “BV” was introduced in Belgian company law. This new company format provides enormous flexibility and offers a range of modalities in terms of management, voting rights and transfer of shares. Founders can fully adapt the articles of association of the BV to the needs of the company and its shareholders. The law provides for a transitory regime consisting of three dates: 01.05.2019, 01.01.2020 and 01.01.2024. 

  • As from 01.05.2019, new companies have to be founded in accordance with the new company law. Existing companies can also opt-in to the new company law.
  • As from 01.01.2020, the mandatory provisions of the WVV will apply for all old company forms. The old companies must fully comply with the WVV at the time of the first amendment of the articles of association. 
  • By 01.01.2024 at the latest, all old companies must have adapted the articles of association to the WVV.

Although you only have to adapt your articles of association at the first amendment of the articles of association or at the latest on 01.01.2024, it is nevertheless advisable to do so as soon as possible. The provisions of the articles of association that are in conflict with mandatory provisions of the WVV are deemed to be non-written. Furthermore, the new WVV offers the freedom to form your company in the flexible BV entirely according to your needs. Now is the time to review and evaluate your company’s articles of association.
