It could be that either the buyer, but most likely the seller, still takes on certain commitments to do certain things after the closing. Some examples:
Change of company name
It may be that the buyer has bought a certain company but that this company still bears the surname of the seller. A postclosing commitment may then be that, once the shares have been transferred, the buyer, after integrating the target into its group, will change the name of the purchased company so that the family name reverts to that of the seller.
Concluding a temporary support agreement
Whereby the vendor assists the buyer for a certain period of time, for instance by keeping its servers open for a further period of time. These are separate agreements concluded together with the share purchase agreement in order to facilitate the transition of the operational activity from seller to buyer.
